Operator Agreement
DRAFT — review with counsel before use. This template records the working relationship between Orcha Collective ("Orcha," "the Company") and a person given operator access to help run the platform ("Operator"). It is not legal advice. The binding terms are the version you and Orcha execute; e-signing here records your acceptance of this draft as the starting point.
1. Role and scope
Orcha may grant the Operator a scoped admin account to help run day-to-day operations — reviewing and curating submissions, assembling packs, maintaining cue sheets, and viewing revenue. The account is least-privilege by design: it does not carry the ability to set pricing or splits, issue refunds, move another artist's payouts, manage partner API keys, or read the audit log. Orcha may adjust, scope, or revoke the account at any time.
The Operator acts within the authority Orcha grants and does not bind Orcha to third parties, spend Orcha funds, or make commitments on Orcha's behalf without prior written approval.
2. Two separate ledgers
The Operator's compensation for running the platform is separate from and independent of any earnings from music they upload as an artist.
- Operating compensation for platform work is set out in a separate compensation schedule (Exhibit A) and paid from platform results as defined there. The specific figures, vesting, and any equity are set only in that schedule — nothing in this draft commits a number.
- Artist earnings for the Operator's own uploads are paid at the standard roster split, the same as every other artist — never a preferential rate. Those terms live in the Roster Artist Agreement.
The person who runs the platform must never be the person who sets their own split. These ledgers are kept apart on purpose.
3. Confidentiality
The Operator will see non-public information about Orcha, its artists, and its buyers. The Operator's confidentiality obligations are set out in the Mutual NDA, which is signed alongside this agreement and incorporated by reference.
4. Work product and IP
Work the Operator creates for Orcha in the course of platform operations — curation decisions, pack selections, operational materials — is Orcha's. This does not touch the Operator's own musical works, which they own and license to Orcha only under the Roster Artist Agreement.
5. Conduct
The Operator will act honestly and in Orcha's interest, follow the access boundaries above, keep buyer and artist data confidential, and not use their access to advantage their own catalog over other artists' in curation.
6. Term and termination
Either party may end this arrangement in writing. On termination, Orcha revokes the admin account, and the Operator returns or destroys Orcha materials in their possession. Sections 2 (as to amounts already earned), 3, 4, and 7 survive.
7. General
This draft is governed by the laws of the State of Georgia, USA. It is not final until executed. Amounts, vesting, equity, and any restrictive covenants are set in Exhibit A and the executed version, not here.
By e-signing, you acknowledge you have read this draft and agree to it as the basis for your operator access, pending the executed agreement.
