Team License
This explains how team seats work on a Studio or Enterprise subscription: who may use a seat, how the account owner administers them, and who is responsible for what. It goes with the Subscription Terms. Orcha Collective is run by Orcha Systems LLC ("Orcha," "we," "us").

1. Named Seats
A team license is seat-based and named. Each seat is for one identified person, invited by their email address. Studio includes 3 seats and can add more at $15 per seat per month; Enterprise seats are set in your contract. Your plan's seat count is the ceiling — the owner cannot hand out more seats than the plan includes.
Seats are not concurrent floating licenses and are not to be shared. One seat is one human. No credential sharing, no passing a seat around a room.
2. The Account Owner Administers the Team
The subscription account holder is the owner. The owner:
- invites people to seats by email, and a pending invite reserves a seat until it is accepted or withdrawn (so two invites can never both claim the last seat);
- removes members, which frees the seat for someone else; and
- is responsible for the whole team's compliance with the Subscription Terms and the licenses those terms grant.
If the owner's subscription lapses, the team has no seats until an active plan is restored. Nothing is granted without an active plan behind it.
3. What a Seat Holder May Do
A person holding a seat may use covered tracks within the plan's scope, the same as a single subscriber, for the organization's work. Everything a seat holder licenses or downloads is licensed to the organization, for the organization's use — not for the individual to keep, resell, or take with them when they leave the team.
4. When Someone Leaves
When a member is removed or leaves, their seat is freed and they stop having any right to use the catalog under the team's plan. Work the organization already published while the seat was active stays licensed, as described in the Subscription Terms; the departed person has no personal license to carry away.
5. The Owner's Responsibility
The owner represents that every person given a seat is authorized to act for the organization and will comply with these terms and the Subscription Terms, and the owner is responsible for their acts and omissions under the team's plan. The owner will indemnify Orcha for a seat holder's use outside the plan's scope, on the same terms as the Subscription Terms.
6. Governing Law and Entire Agreement
This agreement is governed by the laws of the State of Georgia and read together with the Subscription Terms; where the two disagree about seats, this Team License controls. Any dispute will be brought in the state or federal courts located in Georgia. If any part is unenforceable, the rest stays in effect.
